1. Acceptance of Terms

By accessing myshameface.com ("Site") or purchasing our products ("Products"), you agree to these Terms of Service ("Terms"), our Privacy Policy, and our Shipping & Returns Policy. If you do not agree, do not use the Site.

2. Eligibility

You must be at least 16 years old (or the age of digital consent in your jurisdiction) and able to form a binding contract. By placing an order you represent that you meet these requirements.

3. Account Registration

You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. Notify us immediately of any unauthorized use.

4. Products, Pricing & Availability

All Products are subject to availability. Prices, descriptions, and availability may change without notice. We reserve the right to limit quantities, refuse, or cancel orders (including for suspected fraud, pricing errors, or violations of these Terms). Product images are illustrative; actual color and finish may vary slightly.

5. Orders & Contract Formation

An order is an offer to purchase. The contract is formed only when we send a shipping confirmation. If we cancel, we will refund any amount charged.

6. Payment

We accept the payment methods displayed at checkout. Payments are processed by PCI-compliant providers (e.g., Shopify Payments, Stripe, PayPal). You authorize us and our processors to charge your selected payment method for the total order amount, including taxes and shipping. You represent that the payment information you provide is accurate and that you are authorized to use the payment method.

7. Taxes & Duties

Prices may exclude applicable sales tax, VAT, GST, or similar taxes, which will be calculated at checkout where required. International orders may be subject to import duties, customs fees, and taxes assessed by the destination country, which are your responsibility.

8. Shipping & Risk of Loss

Shipping methods, costs, and timelines are shown at checkout. Risk of loss and title pass to you upon delivery to the carrier for US orders, except where applicable law (e.g., EU consumer law) provides otherwise, in which case risk of loss passes on physical delivery to you.

9. Returns, Refunds & Statutory Rights

We accept returns of unworn, unwashed Products with original tags within 30 days of delivery, as set out in our Shipping & Returns Policy.

EU/UK consumers: You have a statutory right to cancel your order within 14 days of receipt without giving any reason, under the EU Consumer Rights Directive and the UK Consumer Contracts Regulations 2013. Refunds will be issued within 14 days of our receipt of the returned Product or proof of return shipment.

Australia: Our Products come with guarantees that cannot be excluded under the Australian Consumer Law. You are entitled to a replacement or refund for a major failure and compensation for any other reasonably foreseeable loss or damage.

Nothing in these Terms affects any non-waivable consumer rights under the law of your country, state, or province.

10. Acceptable Use

You agree not to:

• Use the Site for any unlawful purpose or in violation of any law.
• Attempt to gain unauthorized access to our systems or other users' accounts.
• Interfere with, disrupt, or overload the Site or its infrastructure.
• Use bots, scrapers, or automated means to access the Site without our written permission.
• Submit false, misleading, or fraudulent information.
• Resell Products without authorization or for commercial purposes prohibited by us.

11. Intellectual Property

All content on the Site, including text, graphics, logos, images, designs, video, and software, is owned by or licensed to ShameFace and protected by copyright, trademark, and other laws. You may not reproduce, distribute, modify, or create derivative works without our prior written permission. We grant you a limited, non-exclusive, non-transferable license to access the Site for personal, non-commercial use.

12. User Content

If you submit reviews, photos, comments, or other content, you grant ShameFace a worldwide, perpetual, royalty-free, transferable, sublicensable license to use, reproduce, modify, and display that content in connection with our business. You represent that you own or have the rights to the content and that it does not infringe any third party's rights.

13. DMCA / Copyright Complaints

If you believe content on the Site infringes your copyright, send a DMCA notice to legal@shameface.com including: (a) your contact information; (b) identification of the copyrighted work; (c) the URL of the allegedly infringing material; (d) a statement of good-faith belief; (e) a statement under penalty of perjury that you are authorized to act; and (f) your physical or electronic signature.

14. Disclaimers

EXCEPT AS REQUIRED BY APPLICABLE LAW, THE SITE AND PRODUCTS ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF IMPLIED WARRANTIES, SO THIS EXCLUSION MAY NOT APPLY TO YOU.

ShameFace is a parody/lifestyle brand. Our Products are intended for novelty, costume, and fan-expression purposes and are not personal protective equipment, medical devices, or officially licensed by any sports league or team.

15. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SHAMEFACE AND ITS OFFICERS, EMPLOYEES, AND AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY. OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE PRODUCTS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID FOR THE PRODUCT GIVING RISE TO THE CLAIM IN THE 12 MONTHS BEFORE THE CLAIM, OR (B) USD $100.

NOTHING IN THESE TERMS EXCLUDES OR LIMITS LIABILITY THAT CANNOT LAWFULLY BE EXCLUDED OR LIMITED, INCLUDING LIABILITY FOR DEATH OR PERSONAL INJURY CAUSED BY NEGLIGENCE, FRAUD, OR ANY OTHER LIABILITY THAT CANNOT BE LIMITED UNDER APPLICABLE LAW.

16. Dispute Resolution & Arbitration (US Users)

Informal resolution first: Before filing a claim, you agree to try to resolve the dispute by emailing legal@shameface.com. We'll try to resolve it informally within 60 days.

Binding arbitration: If we can't resolve the dispute informally, you and ShameFace agree that any dispute arising out of or relating to these Terms or the Products will be resolved by binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules. The arbitration will take place in your county of residence (or another mutually agreed location), and judgment on the award may be entered in any court of competent jurisdiction.

Class action waiver: You and ShameFace agree to bring claims only in an individual capacity and not as a plaintiff or class member in any class, collective, or representative action.

30-day opt-out: You may opt out of this arbitration agreement by emailing legal@shameface.com within 30 days of first accepting these Terms with the subject line "Arbitration Opt-Out."

Exceptions: Either party may bring an individual action in small-claims court or seek injunctive relief for intellectual property infringement.

17. Governing Law & Venue

These Terms are governed by the laws of the State of Delaware, USA, without regard to its conflict-of-laws principles, except that mandatory consumer protection laws of your country, state, or province of residence will continue to apply. For users outside the US, claims that cannot be arbitrated must be brought in the courts of competent jurisdiction in the user's place of residence where required by local law; otherwise, the state and federal courts located in Delaware will have exclusive jurisdiction.

EU online dispute resolution: EU consumers may access the European Commission's ODR platform at ec.europa.eu/consumers/odr.

18. Indemnification

To the extent permitted by law, you agree to indemnify and hold harmless ShameFace from any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising out of your breach of these Terms, your misuse of the Site or Products, or your violation of any law or third-party right.

19. Termination

We may suspend or terminate your access to the Site at any time for violation of these Terms or for any other reason permitted by law. Sections that by their nature should survive termination (including IP, disclaimers, liability limits, and dispute resolution) will survive.

20. Changes to These Terms

We may modify these Terms from time to time. Material changes take effect when posted with a new "Last updated" date. Your continued use of the Site after the update constitutes acceptance.

21. Miscellaneous

These Terms (together with the Privacy Policy and Shipping & Returns Policy) are the entire agreement between you and ShameFace. If any provision is held unenforceable, the remaining provisions remain in effect. Our failure to enforce any provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
